Terms of Service

Plain-language terms. By using Canary you agree to these. They're boring but mostly fair. Read them, then close the tab and go have a better meeting.

1. Acceptance

By creating an account or using Canary, you agree to these Terms and to the Privacy Policy. If you don't agree, don't use Canary.

2. The service

Canary is a real-time meeting summarizer. We transcribe meeting audio and produce rolling summaries at multiple time-window and detail-level resolutions. We don't promise:

  • Zero downtime. We aim high but we're not a hospital.
  • Zero transcription errors. Speech recognition is imperfect, especially with accents, background noise, multiple speakers, and technical jargon.
  • That summaries are factually correct. They're generated by a language model. Treat them as notes, not a source of truth.

3. Your responsibilities

  • Tell your meeting participants. Many jurisdictions (most US states, much of the EU) require notice or consent before recording or transcribing a call. The exact rule depends on where you, your participants, and your call host are located. We provide a one-line notification template you can drop into a meeting chat; using Canary in compliance with applicable law is your responsibility.
  • Don't use Canary for illegal recording. Wiretapping laws are real and we will cooperate with valid legal process.
  • Don't capture content you don't have a right to capture. Confidential customer calls without authorization, intercepted communications, etc.

4. Account

One human per account. Don't share credentials. Sharing credentials voids your subscription and we may suspend the account.

5. Subscriptions and billing

  • Paid plans are monthly or annual, auto-renewing until you cancel.
  • Cancel any time from Settings → Account → Manage Subscription. Cancellation takes effect at the end of the current billing period.
  • No refunds for partial months on the monthly plan.
  • Annual plans: full refund if you cancel within 30 days of purchase. After 30 days, no refund on the annual term but you keep service until renewal.
  • Prices may change. We'll give you at least 30 days' notice before any price increase, and the new price applies on your next renewal.

6. Acceptable use

Don't do any of the following:

  • Harass, threaten, or abuse anyone using Canary.
  • Scrape, crawl, or otherwise systematically extract data from our service.
  • Attempt to disrupt the service (DDoS, brute-force, exploit attempts).
  • Use Canary's output to train competing AI models or transcription products.
  • Reverse engineer, decompile, or attempt to extract source code beyond what's permitted by applicable open-source licenses.

7. Intellectual property

  • Your content is yours. You own your meeting audio, transcripts, and summaries. We claim no ownership over them.
  • We license what we need. By using Canary, you grant us a limited license to process your meeting content solely for the purpose of providing the service to you. We don't use your content to train models.
  • Our stuff is ours. The Canary name, logo, application code, design, and documentation are owned by us. We retain rights to aggregated, anonymized usage data — never tied back to you.

8. Disclaimer of warranties

Canary is provided "as is" and "as available." We make no warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. You use the service at your own risk.

9. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or your use of Canary is capped at the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US$100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption — even if we've been advised they're possible.

10. Indemnification

You agree to indemnify us against claims arising from your misuse of the service, your breach of these Terms, or your violation of applicable law (including recording laws). We will indemnify you against third-party claims that Canary's service, as provided by us and used in accordance with these Terms, infringes that party's intellectual property rights. Each side will promptly notify the other of any covered claim and reasonably cooperate in defense.

11. Termination

  • You can terminate any time by deleting your account in Settings → Account.
  • We can terminate or suspend your account for material breach of these Terms (illegal use, abuse, non-payment) with notice where practical.
  • On termination, your data is deleted according to the schedule in our Privacy Policy.

12. Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute that can't be resolved informally will be settled by binding arbitration administered by JAMS in San Francisco, California, except that either party may bring claims in small-claims court or seek injunctive relief in court to protect intellectual property rights. You waive any right to participate in a class action against us.

13. Changes

If we materially change these Terms, we'll notify you in the app and via email at least 14 days before the change takes effect. Continuing to use Canary after a material change constitutes acceptance. If you don't accept, cancel before the effective date.
